General sales conditions 2021

www.umbrosashop.com (the "webshop") is owned by and/or operated by or on behalf of Umbrosa NV, Beversesteenweg 565 B, B 8800 Belgium, registered under number 0434.309.481 with VAT number BE434309481 (" Umbrosa/we/us").

If you place an order through this webshop, upon confirmation that such order is accepted, a sales contract will be executed between you and us, which will be governed by these Umbrosa terms and conditions and specifically by the purchase terms mentioned below.

Please read these sales conditions carefully before ordering products online from the UmbrosaShop website.

1 When do OUR sales conditions apply?

These purchase terms apply to all offers and contracts relating to the sale and delivery of products by Umbrosa.  In other words, you agree to these purchase terms, when you order anything from the website. It is only possible to deviate from these purchase terms if agreed in writing by Umbrosa.

2 Requirements to conclude a contract

You guarantee that the information you provide to Umbrosa in the request or order is accurate and complete.

3 How is a contract concluded with you?

All information on the website is only an invitation to purchase. In other words, the information is not an offer or binding contract. You agree that your order is a request to purchase the products listed in your order.

Umbrosa is entitled to verify an order in advance at all times and/or to refuse to accept an order without providing reasons and with no liability to you or any third parties. If Umbrosa does not confirm acceptance of your order within ten working days, it is deemed to have been refused. All orders submitted by you are subject to acceptance by Umbrosa. We may choose not to accept your order at our own discretion.  Examples of when we may not accept your order are as follows:

(a) If products are shown on the website but are not available;

(b) If we are unable to obtain authorisation of your payment;

(c) If shipping restrictions may apply to a products ;

(d) If products shown on the website contain a manifest error such as being incorrectly priced or otherwise incorrectly described.

After your order has been placed, we will send you an order acknowledgement email with your order number and details of the products you have requested to purchase and details of any delivery services.

Acceptance of your order and the agreement on a contract of sale of the standard products will not take place unless and until you receive an e-mail from Umbrosa which confirms the shipping of the standard products from our warehouse.

All products will remain the property of Umbrosa until you have paid all amounts owing to us in full under any agreement, including the payment of costs, earlier or later deliveries or partial deliveries. You may not sell or dispose of any products without prior agreement of Umbrosa.

4 Quality and maintenance of products

Minor differences in colour and other variations in products are possible as a result of different image acquisition, display technologies or other technical reasons. Umbrosa is not liable for these variations and deviations. Umbrosa draws your attention to the washing and maintenance instructions printed on the labels of the products and on the installation manuals. Please read them carefully before installing your umbrella. Umbrosa is not liable for any damage resulting from incorrect handling of products, including handling contrary to these instructions.

5 Cancelling your order

Because we start to process your order as soon as it is submitted, it is not possible to cancel your order.

6 Price

The stated prices include the VAT. Prices are quoted in Euro or US Dollar. Umbrosa reserves the right to make price changes prior to an order placed by you. Umbrosa reserves the right to change, limit or terminate any special offers or discounts at any time. Umbrosa charges delivery costs (25€)  for orders under 300 €.

7 Methods of payment

We take payment from your card at the time we receive your order, once we have checked your card details. Fraud checks may be conducted. This involves checks on details provided during the order process including the address details. This may involve your details being passed to a 3rd party fraud checking company. On occasion we may ask for additional information in order to process your order. We will conduct this process as quickly as possible however on occasion dispatch of goods may be delayed.

8 Invoicing

Where we choose, or are required by applicable law, to issue or make an invoice, Umbrosa reserves the right to issue or make electronic invoices and you agree to such form of invoicing. An invoice on a company entity can be requested at order@umbrosa.com

9 Delivery

Umbrosa will deliver to the address indicated by you. Umbrosa can only deliver to a home or office address, it is impossible to ship to PO boxes. Deliveries will be done on business days, not being a public holiday in your country or in the area in which our distribution center is located. Therefore, please, take into account any public holidays including any national, provincial and/or local holidays in your country of residence and in Belgium. Note that public holidays may vary per country and per year. We suggest checking all public holidays to get a better estimation of delivery periods. Note that delivery periods are indicative and are therefore not regarded as strict deadlines. The mere fact that a delivery period is exceeded does not entitle you to compensation. Umbrosa is entitled, in so far as reasonably possible, to make split deliveries so that you receive your products as soon as possible. There are no additional costs associated with such split deliveries. If Umbrosa discovers prior to entering into the sales contract that it can no longer deliver the standards products ordered, we may offer you an equivalent product in terms of quality, price and function. You are not obliged to accept the replacement standard products. In the unlikely event that, after entering into the sales contract, Umbrosa can no longer deliver your products and is not responsible for this situation, Umbrosa will be entitled to terminate the sales contract. Umbrosa will, of course, inform you as soon as reasonably practicable and reimburse any payments made.

Umbrosa delivers to all European countries except Belgium, as well as to the UK, the USA and Canada. You can find the overview of all listed countries here. Umbrosa only delivers to the mainland and not to islands. Should you have any questions, please contact Umbrosa.

10 Return of products – EU Countries

 If you are not fully satisfied with your standard Umbrosa products, you have the right to withdraw from the sales contract. In other words, you have the right to return the standard products as indicated below, and we will ensure that you obtain a refund. Simply follow the guidelines explained in the following section: Subject to the provisions of these purchase terms, you may return the standard products received without specifying any reasons within 14 calendar days from the day you receive the standard products. If you would like to withdraw from the sales contract with Umbrosa, you simply return the standard products to us.

If the return falls outside of this period, or the item is used beyond normal use, damaged or not in its original packaging, Umbrosa cannot accept the returned items and cannot give a refund. Please note that all products that have been subject to exposure to rain, cannot be returned.

In the event of a valid return in accordance with these purchase terms, Umbrosa will reimburse the purchase price received by you minus 15% of the total amount of the invoice within fourteen days after receipt by Umbrosa of a notification that you wish to exercise your right of withdrawal. The purchase price being the total amount you have paid minus 15% for transport and handling cost. This is provided however, that Umbrosa only becomes obliged to reimburse you after we have taken physical receipt of the returned products. Umbrosa will organize the return (see point 11Return Guidelines).

The length of time your return is in transit is beyond our control; although once we do receive your return we will process it as quickly as reasonably possible. We therefore need at least fourteen days to receive and to process your return. Although Umbrosa will refund the money within approximately 2 days after processing your return, your bank or credit card company may require additional time to process your refund and transfer it back to your account. We'll notify you via e-mail once we've received and processed the returned product(s). Refunds will be given in the same form of payment as the original purchase.

If a standard product is returned and Umbrosa believes that it has been damaged because of an act or omission for which you are to blame, or which is otherwise for your expense and risk, Umbrosa will be entitled to deduct the decrease in value of the returned products as a result of this damage from the amount to be repaid to you. You can avoid the obligation to compensate the decrease in value of a products caused by use by not using the products and by refraining (as far as reasonably possible) from any actions that could negatively affect its value.

10 Return of products – non-EU Countries

You can contact order@umbrosa.be to see under which conditions you can withdraw from the sales  contract.

11 Return guidelines

Due to the specificity of Umbrosa products, all returns will be handled and organized by Umbrosa. In order to organize a return please send an email to order@umbrosa.com. You will be contacted within 48 hours to handle the return. A specific procedure on how to handle the return will be emailed to you. It will contain the following specific steps

1. Sent an email to order@umbrosa.com with in attachment your original order confirmation or invoice. Clearly mention you order number, name and pickup address.

2. Umbrosa will confirm receipt of this email within 48 hours and have transport arranged.

3. You will be contacted by either Umbrosa or the Transport company to make arrangements for pick up.

4. Once the products have been picked up and inspected in the warehouse, Umbrosa will refund you. Please note that all elements mentioned in section 10 – Returns of Products – will apply.

12 Exchange policy

Umbrosa can exchange products under certain specific conditions. If you wish to exchange a products, please send an email to order@umbrosa.com.

13 Damaged or defective products

For Umbrosa, quality is a top priority. We thoroughly test all our products in real-life conditions to ensure they are fully capable of standing up to the uses for which they were designed.

Returned products are inspected by Umbrosa and refunded if the damage is the result of a manufacturing defect or deviation from factory specifications. We commit to fully refund the cost of any defective products.

If the problem was caused by reasons other than materials quality or assembly process, the original product is returned to you. We do not refund products:

(a) Obtained from a source other than the website

(b) Damaged by abuse or negligence (exposure to chemicals, caustic substances, open flame, high heat, sharp object, extreme weather circumstances, etc.)

(c) Damaged by misuse or activities other than the intended purpose

Please note the life expectancy of any Umbrosa product depends on the individual using the products and the conditions of use. Products that are damaged by normal wear and tear or that have exceeded the reasonable lifespan of the products are not replaced.
